1. ABOUT

These Terms govern all sales and services provided by DO DRONES LTD, a NewZealand-based company specialising exclusively in ABZ Innovation industrial drones and related support offerings.
By placing an order with DO DRONES LTD (“we,” “our,” or “DO DRONES”), you (“the Customer”) agree to be bound by the following terms and conditions, unless otherwise agreed to in writing by both parties.
These Terms apply to all orders, purchases, and services involving our products, whether conducted in person, online, or via written communication. Any deviation from these Terms must be explicitly approved in writing by DO DRONES.
If there is a conflict between these Terms and any custom agreement between DO DRONES and the Customer, the order of precedence shall be:
- A written agreement signed by both parties;
- These Terms of Trade.
2. PLACING AN ORDER
- All orders for drones, drone components, or services must be submitted in the manner specified by DO DRONES.
- Submission of an order constitutes an offer to buy, which we may accept or reject at our discretion.
- Confirmation of acceptance, or delivery/performance, will signify a binding agreement.
- We reserve the right to cancel or decline orders at any time, including after acceptance, without liability.
3. PRICING & PAYMENT TERMS
3.1 Pricing
The price for any product or service will be:
- As quoted and agreed in writing.
3.2 Payment Terms
- Payment is required in full at the time of order, unless otherwise agreed in writing.
- We reserve the right to revise pricing prior to delivery due to exchange rate changes, supplier pricing, or unforeseen costs.
3.3 Late Payment
If payment is not received by the due date:
- Interest may be charged at 2.5% per calendar month, compounded monthly.
- You will be liable for any costs (including legal or collection fees) incurred in recovering overdue payments.
4. DELIVERY & COLLECTION
- We do not dispatch any orders until full payment has cleared.
- Delivery is complete when products are collected from our premises or delivered to a nominated location.
- If DO DRONES organises freight, it is at the Customer’s expense and risk.
- Delivery timeframes are estimates only and we accept no liability for delays.
Delivery Notes:
- All goods must be inspected upon arrival.
- Any damage during shipping must be reported within 2 working days.
- Storage or re-delivery costs due to Customer delays are chargeable.
5. OWNERSHIP & RISK
- Risk in the goods passes to the Customer upon delivery or collection.
- Ownership remains with DO DRONES until payment in full is received.
6. SECURITY INTEREST (PPSA)
- By purchasing from us, you acknowledge that we retain a security interest in all goods sold until paid for in full.
- You agree to assist in registering this interest under the Personal Property Securities Act 1999.
- Certain rights under the Act are contracted out of, including your right to receive certain notices and statements.
7. PRODUCT CLAIMS
If you're not satisfied with a product or service:
- Consumers (under the Consumer Guarantees Act): Claims must be submitted within 30 days of delivery.
- Non-consumers / business customers: Claims must be submitted in writing within 5 days of delivery.
Claims must include:
- Order reference;
- Description of the issue;
- Contact information.
If the claim is valid, we may offer a refund, repair, or replacement at our discretion.
8. RETURNS POLICY
- Returns are only accepted with our prior approval.
- Handling and restocking fees may apply to any approved return.
9. WARRANTIES
- We pass on any ABZ Innovation manufacturer warranties to the Customer.
- All warranty issues must be raised in writing and include supporting documentation (e.g., photos, video, description, flight log) and sent to us.
- Warranty claims are processed via ABZ Innovation’s system. DO DRONES acts as a first point of contact and intermediary.
- Products must not be altered or used with unapproved applications, or warranty coverage may be voided.
- No guarantees are provided regarding turnaround time on warranty claims.
If a warranty is denied, repair services may be offered at the Customer’s expense.
10. LIABILITY LIMITATION
- To the fullest extent permitted by law, DO DRONES is not liable for any indirect, consequential, or special loss.
- Our total liability is limited to:
- Replacement of goods;
- Re-performance of services; or
- Refund of amounts paid.
DO DRONES shall not be held liable for any failure to perform due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, lockouts, industrial actions, fire, flood, drought, storm, or other similar occurrences.
You agree to indemnify us for any claims, damages, or costs arising from your breach of these Terms.
11. INTELLECTUAL PROPERTY
- All intellectual property relating to the Products, designs, or any services provided remains the exclusive property of DO DRONES or its licensors (including ABZ Innovation).
- You receive no ownership or licence rights beyond those required for operation of the Products.
12. ORDER CANCELLATION
- DO DRONES may cancel or postpone delivery of any order at any time and for any reason without liability.
- You may not cancel an order once accepted without written approval from DO DRONES. Cancellations may incur fees.
13. GOVERNING LAW
These Terms are governed by the laws of New Zealand. Any disputes will be handled exclusively in New Zealand courts.
By placing an order or purchasing from DO DRONES LTD, you agree to be bound by these Terms of Trade.
